Article 1. Applicability
1.1 These General Terms and Conditions apply to all offers made by Solarwarehouse (Van Brussel BV) under the business number: 0733.566.755.
1.2 Deviations from the provisions in these General Terms and Conditions can only be made if expressly agreed upon in writing. In that case, the remaining provisions remain in full force.
1.3 If the Buyer also uses their own general terms and conditions, these conditions are not applicable unless expressly agreed upon in writing by Solarwarehouse.
1.4 "Buyer" refers to every visitor of the website and every natural person or legal entity that is in a contractual relationship of any kind with Solarwarehouse or will be in the future.
1.5 Solarwarehouse has the right to involve third parties in the execution of an agreement.
1.6 Solarwarehouse reserves the right to change or supplement these terms from time to time.
Article 2. Offers and Conclusion of Agreements
2.1 Offers and price quotations are invitations to potential Buyers to make an offer. Solarwarehouse is not bound by these unless it is explicitly and unambiguously recorded in writing.
2.2 Offers are valid while supplies last.
2.3 A personalized quote is valid for two (2) weeks, unless otherwise stated in the quote.
2.4 An offer from the potential Buyer is considered to be made when:
- The potential Buyer has precisely indicated which product and/or service they wish to receive.
- A quote has been signed and received by the Buyer, if a personalized quote has been issued.
- The potential Buyer has entered their data on the website and this data has been received by Solarwarehouse.
2.5 An agreement is concluded when an order confirmation is handed over to the Buyer or sent via email to the provided email address. Solarwarehouse reserves the right to revoke the agreement if the Buyer does not meet the conditions.
2.6 Buyer and Solarwarehouse agree that a valid agreement is formed through electronic communication, once the conditions in Article 2.4 and 2.5 have been met. The absence of a physical signature does not affect the validity of the offer and its acceptance.
2.7 Information and characteristics of products are presented as accurately as possible. However, Solarwarehouse does not guarantee that all information is completely accurate.
2.8 All decisions based on data, estimates, calculations, and other factors leading to the conclusion of an agreement are at the risk of the Buyer.
Article 3. Prices
3.1 All prices are in euros, unless otherwise agreed in accordance with legal regulations.
3.2 Special offers are valid while supplies last.
3.3 The Buyer owes the price communicated by Solarwarehouse in the confirmation according to Article 2.5. Clear pricing errors can be corrected.
3.4 Delivery costs are not included in the price. Special rates apply for deliveries outside Belgium. Specific payment methods may incur additional costs, which will be clearly communicated during the order process.
3.5 If the prices for the offered products and services increase between the order and its execution, the Buyer is entitled to cancel the order or terminate the agreement within ten (10) days after receiving notice of the price increase from Solarwarehouse.
Article 4. Delivery and Execution
4.1 Solarwarehouse aims to dispatch accepted orders within two (2) working days, unless a longer delivery period has been agreed upon.
4.2 The maximum delivery period is thirty (30) days after receipt of the order, unless otherwise agreed. This period is indicative and Solarwarehouse is not liable for any delay in delivery.
4.3 The delivery of products takes place at the address provided by the Buyer to Solarwarehouse.
4.4 The risk of damage and/or loss of products remains with Solarwarehouse until the moment of delivery to the Buyer, unless expressly agreed otherwise.
4.5 Solarwarehouse is authorized to involve third parties in the execution of the order(s).
4.6 The Buyer is obligated to inspect the delivered products immediately upon receipt. Complaints about visible defects must be reported to Solarwarehouse in writing within seven (7) days of delivery.
4.7 Deliveries take place at the time of purchase via the website. The Buyer is responsible for verifying the accuracy of the provided information.
Article 5. Payment
5.1 Payment can be made through the payment methods offered on the website. Payment is handled by an external payment service provider and is subject to their terms.
5.2 The Buyer agrees to pay the due amounts prior to delivery.
5.3 In case of non-timely payment, the Buyer is in default by operation of law, and Solarwarehouse has the right to terminate the agreement immediately or suspend (further) delivery.
5.4 In case of non-payment, the Buyer is liable for all damages suffered by Solarwarehouse as a result, including all reasonable collection costs.
Article 6. Retention of Title
6.1 The ownership of delivered products only transfers to the Buyer after the Buyer has fulfilled all obligations owed to Solarwarehouse based on any agreement.
6.2 The risk with respect to the products passes to the Buyer upon delivery.
Article 7. Complaints Procedure
7.1 Complaints about the execution of the agreement and/or visible defects must be submitted in writing, fully and clearly described, to Solarwarehouse within seven (7) days after the defects have been discovered.
7.2 Solarwarehouse will respond in writing within fourteen (14) days of receiving the complaint.
Article 8. Warranty and Liability
8.1 Solarwarehouse guarantees that the products comply with the agreement, the specifications mentioned in the offer, with the reasonable requirements of soundness and/or usability, and with the legal provisions and/or government regulations that existed on the date of concluding the agreement.
8.2 Solarwarehouse is never obliged to pay any compensation to the Buyer or others, unless there is intent or gross negligence on the part of Solarwarehouse.
8.3 The liability of Solarwarehouse is in any case limited to the amount of the invoice that relates to the respective agreement.
Article 9. Force Majeure
9.1 In case of force majeure, Solarwarehouse is not obliged to compensate for any damage incurred by the Buyer as a result.
9.2 Force majeure is understood to mean any circumstance beyond its control that prevents the fulfillment of its obligations towards the Buyer in whole or in part.
Article 10. Intellectual Property
10.1 The Buyer expressly acknowledges that all intellectual property rights to displayed information, images, communications, or other expressions relating to the products and/or the website are vested in Solarwarehouse.
Article 11. Applicable Law and Disputes
11.1 The Belgian law shall exclusively apply to all legal relationships in which Solarwarehouse is a party.
11.2 Disputes between the parties shall exclusively be submitted to the competent court in the district where Solarwarehouse is located.
